Overview of Capital Policy

Tokyo Gas Co., Ltd. implemented treasury stock acquisition based on the Board of Directors resolution dated October 28, 2025, during the period from October 29, 2025, to March 31, 2026. The target was common shares, with an upper limit of 4 million shares and a maximum acquisition price set at 9 billion yen. As of March 31, 2026, the cumulative number of shares acquired reached 2,269,300 shares, totaling 6,717,584,500 yen in acquisition price, representing a progress rate of 56.7% in terms of shares and 74.6% in terms of acquisition amount. In the one-month period of March 2026 alone, 281,900 shares were acquired on the market at a total price of 858,371,400 yen.

Shareholder Returns and Future Policy

The company positions Return on Equity (ROE) as its most important KPI and promotes reduction of unnecessary shareholders’ equity to improve Return on Invested Capital (ROIC). Under a three-year plan from fiscal 2024 to fiscal 2026, it aims to gradually lower the equity ratio from 48% in fiscal 2023 to 40%, while advancing shareholder returns alongside net income. The company intends to continue capital-efficient growth investments while pursuing capital policies aimed at maintaining and improving an appropriate equity ratio.
