Notice Regarding Transition to a Company with an Audit and Supervisory Committee and Executive Personnel

Key Points of the Transition

The Company has resolved, on the premise of approval at the 18th Ordinary General Meeting of Shareholders scheduled for 2026-12-17, to transition to a company with an Audit and Supervisory Committee. The purpose of the transition is to enhance corporate governance and expedite management decision-making. An Audit and Supervisory Committee, in which outside directors will constitute a majority, will be established to strengthen auditing and supervisory functions through the exercise of voting rights and the right to express opinions. Amendments to the Articles of Incorporation will be formally decided following shareholder approval.

Executive Personnel under the New Structure

Following the transition, the executive candidates are planned to include Hiroshi Iwamoto (Representative Director), Ryo Kurokawa, Fumiya Kikuchi, Go Nakayama, Noboru Senjin (outside), and Kei Tanaka (outside). Audit and Supervisory Committee candidates include Satoshi Arai, Eiji Katayama, and Saira Okura; Mr. Katayama and Mr. Okura are said to meet the independent director requirements. Auditors scheduled to retire are Yuko Kiuchi and Nagao Asami.
