AI inside Inc. resolved at the Board of Directors meeting to acquire the shares of Wanderlust, an AI development consulting company originating from the University of Tokyo / Matsuo Laboratory, and make it a subsidiary in order to enhance the system that integrates and provides a three-layer AI execution platform including DX Suite, Leapnet, and AI inside Cube. The target company has strong upstream proposal capabilities based on deep technical understanding and provides end-to-end services from AI strategy formulation to implementation and verification. Through the acquisition, AI inside Inc. aims to strengthen its ability to handle large-scale projects and expand contract sizes.

Acquisition Details and Future Impact

The number of shares to be acquired is 86,411 shares (70.0% of the target company's issued shares). The acquisition price is 700 million yen, and the estimated total including advisory fees is 750 million yen. The share transfer execution date is scheduled for October 2026.
