Notice Regarding the Acquisition of Shares of Fukura Trading Co., Ltd. (Full Subsidiary)

This is an advisory announcing the resolution to acquire all shares of Fukura Trading Co., Ltd. to make it a wholly owned subsidiary. The consolidation is expected to strengthen Fukura Trading’s consolidated relationship, and Fukura Trading (Dalian) will also become a subsidiary. The backdrop includes strengthening sales in the electronics components and connectors sector and creating synergies, positioned as part of the mid-term strategy to expand the electronics business within the company group’s industrial equipment segment. The specific acquisition timetable is the stock transfer agreement date of August 31, 2026, and the stock transfer execution date (planned) of March 1, 2027.

The impact going forward is expected to be minor on the consolidated results for the fiscal year ending March 2027, and the company will promptly disclose any other matters to be disclosed as needed. Since Fukura Trading and Fukura Trading (Dalian) do not prepare consolidated financial statements, financial indicators are shown on a simple aggregate basis, with attention to the possibility of internal offsets. Towards post-acquisition integration, focus will shift to processes and maintaining/optimizing the trading relationships and terms with counterparties.
