Withdrawal of Shareholder Proposal and Revision of Resolutions

Power Development Co., Ltd. has withdrawn the shareholder proposal (regarding a partial Articles of Incorporation change) submitted for the 74th Annual General Meeting of Shareholders scheduled for June 25, 2026. The Board of Directors has approved this withdrawal and removed it from the agenda. As a result, the resolutions to be adopted at the General Meeting will remain unchanged, focusing on the disposal of surplus, election of directors, and appointment of an outside director as audit & supervisory committee member, with no proposal for the partial Articles of Incorporation change to be included.
