Overview of Director Candidate Determination

Monex Group, Inc. has determined the director candidates to be proposed at the 22nd Annual General Meeting of Shareholders scheduled for June 2026. While maintaining the current board structure, the number of outside directors will be increased from six to seven to introduce new perspectives, with the number of internal directors maintained at four. The candidates consist of the reappointment of 10 incumbents and one new appointment (Mr. Masashi Nabatame). Mr. Nabatame possesses extensive experience in banking, securities, insurance, and asset management industries as well as advanced knowledge in IT, and he is planned to be registered as an independent officer.

Future Schedule and Structure

The official date, time, and location of the shareholders meeting will be announced on the company's website once determined. After the shareholders meeting, Mr. Norio Domae is expected to be elected as the Lead Independent Outside Director by the outside directors. This decision on director candidates aims to enhance the sophistication of management decisions and ensure the sustainability of the board over the medium to long term, balancing board stability with the introduction of new expertise.
