Aeon Financial Service holds a voting rights ownership ratio of 49.99% for its parent company, Aeon, and operates financial service businesses domestically and internationally. Aeon is responsible for group-wide strategic planning and allocation of management resources, while our company provides financial services such as credit purchases and loans, serving as the core of the group. Aeon’s group governance emphasizes decentralization, and our company makes autonomous management decisions while consulting with Aeon on important matters. Executives include Aeon’s executive officers, ensuring coordination and transparency of governance within the group.

Transaction Relationships and Minority Shareholder Protection

Terms of transactions between our company, Aeon, and group companies are determined on the same basis as third-party transactions, with prior approval from the Transaction Review Committee for significant transactions. The transaction amount with the parent company includes royalties paid of 3,941 million yen and unpaid balances of 2,197 million yen. To protect minority shareholders, our company ensures independence in determining transaction conditions and reviewing important matters, and strives to increase transparency.
