Overview of the Articles Amendment

Marubeni Corporation has resolved a partial amendment to the Articles of Incorporation to transition to a company with a nominating committee, aiming for sustainable corporate value enhancement and swift transformation promotion. This will newly establish provisions relating to the nominating committee, audit committee, compensation committee, and executive officers, and delete existing provisions concerning statutory auditors and the audit & supervisory board. Additionally, to accommodate business diversification, the paid employment placement business will be added to the business objectives. The amendment will be submitted as an agenda item at the 102nd Annual General Meeting of Shareholders scheduled for late June 2026 and is planned to take effect upon approval.

Governance Strengthening and Future Outlook

Transitioning to a company with a nominating committee will enhance the functions and transparency of the Board of Directors. The committees will consist of three or more directors, with a majority being outside directors. New provisions will also be introduced relating to the appointment, term, and indemnification of executive officers, aiming for swift management decision-making and strengthening supervisory functions. These changes are expected to contribute to enhancing Marubeni's corporate value.
