Decision on Abolishment of Share Buyback Defense Measures

Symphony Technology Co., Ltd. resolved at the Board of Directors meeting to abolish the share buyback defense measures introduced in June 2008 as of the conclusion of the 102nd Annual General Meeting of Shareholders scheduled for late June 2026. Although we have continuously strived to enhance corporate value and strengthen corporate governance since the introduction, considering shareholders’ opinions and changes in the market environment, the decision was made not to continue these measures.

Future Measures and Ensuring Shareholder Interests

After abolishing the share buyback defense measures, we will continue initiatives to enhance corporate value and secure the joint interests of shareholders. Regarding large-scale purchase actions, we plan to request necessary information disclosure to enable shareholders to make appropriate judgments, respect the opinions of independent outside directors, and implement appropriate responses within the scope of relevant laws and regulations.
