Notice on Completion of Partial Acquisition and Cancellation of A-type Preferred Shares, signings of Commitment Line Agreement, and Early Repayment of Subordinated Debt Facility

Chiyoda Corporation, in light of a partial amendment to its articles of incorporation, has completed the acquisition and cancellation of a portion of A-type preferred shares. The acquisition total represents 63.1% of issued shares, and the acquisition price is JPY 55,111,680,000. In addition, a commitment line facility with Mitsubishi UFJ Bank (limit of JPY 20 billion) has been established, and the subordinated loan has been prepaid. Furthermore, the loan agreement with Mitsubishi Corporation Financial Services has been terminated. The company aims to advance the remaining redemption of A-type preferred shares over the next two years to pursue financial autonomy and a shift in market classification.

Looking ahead, once the A-type preferred shares are fully redeemed, the company will aim to resume ordinary dividends to common shareholders and, in the longer term, strengthen growth strategies with a view toward reclassifying to the Prime Market. Through optimizing the capital structure, financial stability will be enhanced, and building a mid- to long-term growth trajectory for the business is a key consideration.
