Overview of the Merger

Mitsui Mining & Smelting Co., Ltd. has decided to absorb its wholly-owned subsidiary, Takehara Kosan Co., Ltd. This merger will be conducted by means of a simplified and short-form merger procedure, with an effective date of July 1, 2026. Takehara Kosan primarily conducts ancillary operations for the Takehara Smelting Plant, manages welfare facilities, and handles rental property management. Through the merger, both companies aim to enhance the consistency and efficiency of employee training and development, as well as safety and health management. There will be no issuance of new shares or cash payments related to the merger.
