(Progress of Disclosure) Notice Regarding Acquisition of Shares of Medomain Inc. and Making it a Consolidated Subsidiary

Overview of M&A

TechMatrix Corporation and its consolidated subsidiary PSP Corporation are acquiring shares of Medomain Inc. for a total of approximately 2.3 billion yen, aiming to make it a consolidated subsidiary. The number of shares acquired by TechMatrix are 8,427 common shares, 14,077 S-type preferred shares, and 22,867 A-type preferred shares. PSP is acquiring 12,738 common shares, 19,864 S-type preferred shares, and 34,375 A-type preferred shares. After acquisition, the voting rights ownership ratio will be 29.10% for TechMatrix and 42.95% for PSP.

Schedule and Changes of Share Acquisition

A basic agreement was concluded on February 17, 2026, and the agreement on share transfer was reached on April 24, 2026. The planned execution date of the share transfer is April 30, 2026, with execution scheduled on different dates for each individual shareholder. The breakdown of the acquisition price is approximately 1.14 billion yen for PSP and approximately 1.16 billion yen for TechMatrix. Consequently, Medomain is expected to become a consolidated subsidiary of TechMatrix.
