Regarding the Transition to a Company with a Nomination Committee

Metaplanet Inc. intends to obtain approval at the 27th Annual General Meeting of Shareholders scheduled for March 25, 2026, to transition from a company with an audit & supervisory board to a company with a nomination committee. The purpose of this transition is to clarify the roles of management supervision and execution, enhance transparency in organizational design, and strengthen corporate governance. By establishing the nomination committee, audit committee, and compensation committee, the company aims to achieve sustainable enhancement of corporate value.

Partial Amendment of Articles of Incorporation

In conjunction with the transition to a company with a nomination committee, partial amendments to the articles of incorporation will be implemented. Major changes include the deletion of provisions related to the audit & supervisory board, the establishment of new provisions for each committee and executive officers, and the creation of new provisions regarding the decision-making body for dividends of surplus. This enables the board of directors to flexibly determine dividends of surplus and other matters. The amendments to the articles of incorporation will take effect at the conclusion of the shareholders’ meeting on March 25, 2026.
