Overview of the M&A

NIPPON EXPRESS HOLDINGS, INC. has resolved to acquire shares of Metro Supply Chain Group Inc., mainly based in Canada, the United States, and the United Kingdom, through a wholly owned subsidiary, thereby making it a subsidiary. The acquisition price is approximately 1,800 million Canadian dollars (approximately 207,000 million yen), with the number of shares being 11,754,647, and the voting rights ownership ratio reaching 100%. Metro Supply Chain Group operates a 3PL business, with consolidated net sales of 1,377,189 thousand Canadian dollars (158,377 million yen) and operating income of 56,433 thousand Canadian dollars (6,490 million yen) for the fiscal year ending September 2025.

Strategic Significance and Future Outlook

This transaction aims to enhance the NX Group Management Plan 2028’s long-term vision by increasing presence in the North American market, strengthening end-to-end solutions, expanding the customer base, and creating synergies between both companies. Completion of the transaction is scheduled between July and December 2026, contingent upon completion of antitrust procedures in each country. The impact on consolidated results for the fiscal year ending December 2026 is currently under review and will be promptly disclosed if there are any matters to report.
