Notice Regarding the Appointment of Audit Committee Members

This notice concerns the appointment of audit committee candidates based on the board of directors meeting resolution held on August 12, 2026, and is planned to be submitted to the 25th ordinary general meeting of shareholders (scheduled for September 29, 2026). All three current auditors are expected to reach the end of their terms; new or reappointment candidates are Koshi Hasauma, who will serve as full-time auditor (new appointment), Kenjiro Ishizuka (auditor, external, reappointment), and Koji Takeuchi (auditor, external, new appointment). Planned resignations are Hisayuki Nakajima (full-time auditor) and Kiyoshi Suzuki (auditor, external).

The brief biographies of the new auditor candidates note that Hasauma comes from a financial institution with long-term experience and, after transferring to our company, has held roles such as head of the Corporate Planning Office; Takeuchi is a certified public accountant with experience at an auditing firm, and his suitability as an external auditor is indicated. After shareholder approval, expectations are raised for strengthened audit functions and a robust governance framework.
