Notice regarding the issuance of new shares and stock acquisition rights in connection with the 3rd allocation to third parties under the stock and stock acquisition rights issuance program

Overview of financing and issuance

As the 3rd allocation to third parties, 2,932,000 ordinary shares will be allocated, with a payment amount of 140 yen per share, raising a total of 41,048,0000 yen. The payment amount for 29,320 stock acquisition rights is also the same, with an exercise period from 2026/9/4 to 2030/9/3. The recipient is CVI Investments, Inc., and the total funds are 9,599,368,00 yen (aggregate of the payment amounts and stock acquisition rights). Use of funds includes research and development and initiation preparation costs for GPC-1 CAR-T therapy, as well as working capital, etc.

Use of funds and rationale

The specific use of funds consists of: (1) R&D and initiation preparation costs for GPC-1 CAR-T therapy targeting refractory solid tumors, and (2) working capital, etc. The GPC-1 CAR-T therapy is being developed under a joint research project with Kyoto University Graduate School of Medicine and International University of Health and Welfare, establishing non-clinical trials, quality, and manufacturing methods to prepare for clinical trials. The rationality of the use of funds is expected to contribute to mid- to long-term corporate value enhancement.
