Overview of Share Buyback and Tender Offer

Toyota Tsusho Corporation will conduct a tender offer targeting mainly 118,095,402 shares of common stock owned by Toyota Industries Corporation (ownership ratio 11.19%) from May 1 to June 2, 2026. The offer price is set at a maximum of 5,620 yen per share, representing a 10% discount to the simple average closing price of 6,244 yen over the past one month up to April 28, 2026. The planned purchase amount is 118,095,402 shares plus one trading unit (100 shares), totaling 118,095,502 shares. In case applications exceed the planned purchase amount, shares will be allocated on a pro-rata basis. The funding will be covered by own funds and borrowings, and the acquired treasury shares are scheduled to be cancelled on June 30, 2026.

Board Resolution and Shareholder Return Policy

This tender offer and cancellation of treasury shares were approved by the Board of Directors on April 30, 2026. As part of shareholder returns, the company aims for a total return ratio of 40% or more, including progressive dividends and share buybacks, to enhance capital efficiency and maximize shareholder value. To eliminate the cross-shareholding with Toyota Industries Corporation and minimize external outflow of assets, the tender offer price applies a certain discount to the market price.
