Progress of Share Buyback Tender Offer

Toyota Tsusho Corporation resolved via written resolution in lieu of a board meeting on June 3, 2025, to carry out a share buyback tender offer in accordance with the Companies Act and its Articles of Incorporation. On January 14, 2026, the company resolved to change the purchase price and planned to start the tender offer in late February 2026. However, due to the extension of the related tender offer period by Toyota Industries Corporation, it was decided to postpone the start of the share buyback tender offer until after the announcement of the fiscal year ending March 2026 financial results.

Future Outlook and Conditions

Subject to the successful completion and settlement of Toyota Industries Corporation's tender offer, Toyota Tsusho plans to promptly pass a formal resolution to proceed with the share buyback tender offer to the extent practically possible. Since the company plans to announce its fiscal year ending March 2026 financial results on April 30, 2026, even if the conditions are fulfilled before the announcement, the commencement will be after the financial results announcement. Any change in the scheduled start period will be disclosed immediately.
