Announcement Regarding the Result of the Tender Offer for Shares of Alenza Holdings Co., Ltd. (Securities Code: 3546) and Changes in Equity-Method Affiliates

Result of the Tender Offer

Konan Shoji Co., Ltd. conducted a tender offer for shares of Alenza Holdings Co., Ltd. from February 13 to March 30, 2026. The total number of shares tendered was 11,723,970, which exceeded the minimum purchase number of 4,744,300 shares. As a result, all tendered shares were acquired. The acquisition price amounted to 17,120 million yen, and the voting rights ownership ratio after acquisition will be 38.79%. Settlement will begin on April 6, 2026.

Change in Equity-Method Affiliate and Future Outlook

As a result of this tender offer, Alenza Holdings Co., Ltd. is scheduled to become an equity-method affiliate of Konan Shoji Co., Ltd. as of April 6, 2026. The target company’s consolidated financial results for the most recent three years showed net sales of approximately 148.9 billion yen and net income attributable to owners of parent of approximately 2.088 billion yen. The impact on future consolidated financial results is currently under review and will be disclosed promptly if necessary. Furthermore, the tender offeror plans to proceed with a process to limit the shareholders of the target company to only the tender offeror and Valor Holdings, which is expected to result in the delisting of the target company’s shares.
