Regarding Stock Split and Partial Amendment of Articles of Incorporation

Juta Financial Group, Inc. will conduct a stock split at a ratio of 5-for-1 effective April 1, 2026. As a result, the total number of issued shares will increase from 37,924,134 to 89,620,670 shares, and the total authorized shares will be revised from 80 million to 400 million shares. The objective of this stock split is to lower the amount per investment unit, thereby creating a more accessible investment environment to improve stock liquidity and broaden the investor base.

Revision of Shareholder Benefit Program and Other Impacts

Concurrent with the stock split, the shareholding requirements for the shareholder benefit program have been revised to effectively ease the conditions for benefit eligibility. Summer benefits will now require 200 shares or more (40 shares pre-split equivalent), and winter benefits will require 1,000 shares or more (200 shares pre-split equivalent), reducing the investment amount to about 40% of the previous level. There will be no change in capital stock, and dividends as of March 31, 2026, will be based on the number of shares before the stock split. The number of shares under the restricted stock compensation plan will be adjusted according to the split ratio, but the total compensation amount will remain unchanged.
