Overview of Executive Changes

Foster Electric Company, Limited plans to transition to a company with an audit and supervisory committee subject to approval at the 92nd Annual General Meeting of Shareholders scheduled for late June 2026. Accordingly, based on the deliberations of the Nomination Advisory Committee of the Board of Directors, resolutions were passed to effect changes to directors (excluding directors serving as audit and supervisory committee members), directors serving as audit and supervisory committee members, and executive officers. Ms. Mikiko Morimoto (currently Outside Director and Audit and Supervisory Committee Member of Itoham Yonekyu Holdings, Inc.) is slated to be appointed as a new director candidate. Several promotions and transfers among executive officers will take effect on April 1, 2026.

Future Structure and Shareholders' Meeting Schedule

Formal changes to directors and audit and supervisory committee members will be decided at the 92nd Annual General Meeting of Shareholders scheduled for late June 2026 and subsequent Board of Directors and Audit and Supervisory Committee meetings. Under the new management structure, Kazuhiro Kishi will serve as President and CEO, alongside several outside directors, aiming to strengthen governance as a company with an audit and supervisory committee. The executive officer system will also be refreshed, with heads of domestic and overseas business locations appointed as Senior Executive Officers (part-time), reinforcing the global management framework.
