Notice Regarding Grant of Performance Share Units (PSUs)

Overview of the Plan

Sony Group Corporation has implemented a post-grant equity compensation plan using Performance Share Units (PSUs) and resolved to grant PSUs to a total of 18 executive officers, employees and officers/employees of its subsidiaries. The total number of units to be granted is 622,360 units, which is equivalent to a maximum of 1,244,720 shares. Vesting will be determined based on performance over a three-year evaluation period starting from the grant date, with achievement levels resulting in vesting between 0% and 200%. Delivery will be made through disposition of treasury shares, and cash settlement or alternative measures may be used as necessary. Special provisions apply in the event of death or corporate reorganizations.

Future Impact and Key Dates

The vesting date and timing of share delivery are planned for November 25, 2026. After grant, adjustments will be made in the event of changes to the total number of outstanding shares (such as share consolidations or splits), and cash substitutes may be provided in cases of death or other exceptional circumstances. Continued service during the evaluation period is a condition for recipients, and the number of shares to be delivered will be finalized based on the degree of achievement of performance targets.
