Overview of the Business Integration

This transaction completes the integration of the automation equipment business, including ATMs, with Hitachi, Ltd., and will promote the business through a newly established joint venture, OH Channel Innovations Co., Ltd. Oki Electric Industry Co., Ltd. will invest 60% and Hitachi, Ltd. will invest 40%, with capital of 86 hundred million yen. Through an absorption-type company split, Oki Electric Industry succeeded to the development and manufacturing businesses, and acquired part of the shares of Hitachi Channel Solutions, making it a consolidated subsidiary.
