Overview of Director Changes

Shin-Etsu Chemical Co., Ltd. resolved to propose Atsuko Oka as a new outside director candidate and Shunichi Kurio as a new outside audit & supervisory board member candidate at the 149th Ordinary General Meeting of Shareholders scheduled for June 26, 2026. Ms. Oka brings extensive experience in technology planning and research planning within the NTT Group, while Mr. Kurio has a distinguished background including serving as Commissioner General of the National Police Agency and Deputy Chief Cabinet Secretary. Both candidates meet the Tokyo Stock Exchange’s independent officer criteria.

Scheduled Retiring Directors and Future Outlook

At the conclusion of the shareholder meeting, current outside director Hiroshi Komiyama and outside audit & supervisory board member Yoshito Kosaka are scheduled to retire. The appointment of new directors will refresh the outside director framework and is expected to contribute to strengthening corporate governance.
