Notice Regarding Issuance of Paid Stock Options (Subscription Rights to Shares)

Purpose and Overview of Stock Option Issuance

Remixpoint, Inc. resolved to issue paid stock options (the 29th subscription rights to shares) as part of a corporate restructuring to enhance the motivation and morale of directors and employees, aiming to increase corporate value. The subscription rights to shares will be issued at fair value and do not require approval at the general shareholders’ meeting. Exercise conditions include exercisability when the stock price is 500 yen or higher, and expiration of rights if the stock price is below 150 yen. The maximum dilution rate is approximately 1.5%, expected to strengthen commitment towards achieving target stock prices.

The allotment targets are a total of 44 individuals: 3 directors and 38 employees of the company, along with 1 director and 2 employees of its subsidiaries. The total number of subscription rights is 21,630 units, corresponding to 2,163,000 shares. The payment amount is 221 yen per unit, and the exercise price is 226 yen per share. The exercise period runs from 2026-08-10 to 2031-08-09. If stock price conditions are not met, the rights will lapse, resulting in a maximum dilution capped at approximately 1.5%. Transfer restrictions and acquisition conditions are also established.
