Overview of Treasury Stock Disposal

At the Board of Directors meeting held on April 15, 2026, Broadleaf Co., Ltd. resolved to dispose of 59,574 shares of treasury stock on May 12, 2026, as restricted stock compensation at a price of 940 yen per share, totaling 55,999,560 yen. The recipients are two directors (excluding outside directors) and seven executive officers. This is carried out to share the benefits and risks of stock price fluctuations with shareholders and to enhance motivation to contribute to corporate value improvement.

Details and Conditions of Restricted Stock Allocation Agreement

The transfer restriction period is from the grant date until the date the allocated person ceases to hold the position of director or executive officer; if the resignation occurs before March 31, 2027, the period extends to April 1, 2027. During this period, the shares are restricted from transfer or disposal, and upon resignation or expiration of the restriction period, free acquisition or lifting of restrictions will be executed according to conditions. The shares are held in a designated securities company account, and procedures for organizational restructuring and other changes are stipulated. The disposal price is based on the closing price on April 14, 2026, and is set at a reasonable price.
