Overview of Capital Policy

DeNA Co., Ltd. has resolved to acquire and cancel treasury stock as part of measures aimed at realizing management attentive to capital costs and stock price. The target for acquisition is the company’s common shares with a maximum of 25 million shares and a total acquisition value limit of 50 billion yen. The acquisition period is scheduled from March 2, 2026, to February 26, 2027. The acquisition method will be market purchases on the Tokyo Stock Exchange. All acquired treasury stock will be cancelled, with the cancellation date to be determined in the future considering the acquisition status.

Shareholder Returns and Improvement of Capital Efficiency

Based on the management policy announced on November 10, 2025, focusing on capital costs and stock price, the company is promoting strengthened balance sheet management. On February 5, 2026, the company disclosed a revision of its basic dividend policy and an upward revision of dividend forecasts. This treasury stock acquisition and cancellation aim to further enhance shareholder returns and improve capital efficiency. As of December 31, 2025, the total number of outstanding shares (excluding treasury stock) was 111,498,632 shares, and the number of treasury shares was 10,646,913 shares.
