Notice Regarding the Formation of Real Estate Security Token Offering and Transfer of Real Estate Trust Beneficiary Interest, and Asset Management Agreement

Overview of Transaction

Wealth Management's consolidated subsidiary has entered into a contract to transfer the real estate trust beneficiary rights of the target hotel 'Six Senses Kyoto.' The transferee fund is Limited Liability Company WRMST No.1, and the currently held fund is the Kyoto Higashiyama Guest Specific Purpose Company. The transfer settlement is scheduled for September 1, 2026. At the same time as the transfer, funds will be raised through the establishment of this STO and the setting of a beneficiary securities issuance trust. The trustee is Wealth Reality Management, and the entrustor is SMBC Trust Bank.

Future Earnings Impact and Schedule

As part of the series of transactions, this consolidated fiscal year’s sales are expected to increase by more than 10% year over year, and ordinary income and net income attributable to owners of parent are expected to be more than 30% above the average of the past five consolidated fiscal years. The impact is already reflected in the consolidated earnings forecast for the FY2027. It should be noted that settlement/transfer dates and market conditions may result in the transaction not being completed.
