Basic Policy on Corporate Governance and Its Application

This document details Nikko Holdings' approach to the Corporate Governance Code, covering the protection of shareholder rights, ensuring transparency in information disclosure, the basic policy on capital policy, treatment of policy-held shares, views on defense against acquisitions, and disclosure standards for related-party transactions. It also explains the roles of the board of directors, the audit and supervisory committee, and independent outside directors, as well as internal whistleblowing, pension fund disclosures, and the organizational framework and supervisory functions for promoting sustainability.

Shareholder Dialogue and Practical Information Disclosure

We have established disclosure and dialogue frameworks that consider overseas institutional investors, including facility for shareholder meetings, English-language disclosures, participation in voting platforms, dissemination of information to institutional investors, and an English-language website. The policy emphasizes strengthening disclosure of non-financial information beyond financial results, the publication of sustainability indicators, and regular investor briefings and ESG explanations to support long-term enterprise value creation.
