Overview of Board Effectiveness Evaluation

Ariake Japan conducted an evaluation of the effectiveness of its Board of Directors as part of corporate governance and judged that the Board functions appropriately overall. The evaluation covered five areas: Board composition, operation, deliberation enhancement, support structure, and stakeholder relations, and results were generally favorable. To improve deliberation, a Nomination and Compensation Committee was established with a majority of outside directors. The Company is also working to ensure diversity in Board members, including appointing female directors. Going forward, the Company will continue to evaluate and improve with the aim of enhancing corporate value.
