【Nishitetsu】Notice of Independent Committee Member Change | May 2026

Change in Executive Personnel

Nishitetsu's Board of Directors, convened on May 14, 2026, decided to replace certain members of the independent committee. External director Kyoko Matsuoka no longer meets independence criteria, and Ms. Kikuyo Tsuno was newly appointed as a committee member. Ms. Tsuno brings extensive experience from Kyushu Electric Power and has been serving as a director of the company since June 2023. Her term runs from the conclusion of the general meeting of shareholders on June 27, 2024, until the shareholders’ meeting in the final fiscal year.

This executive change is part of our efforts to enhance corporate governance. The newly appointed Ms. Tsuno is expected to contribute by leveraging her experience in labor and strategic fields to maintain a highly independent supervisory structure.
