Overview of Disposal of Treasury Stock as Restricted Stock Compensation

On May 22, 2026, the Company resolved to dispose of 6,765 shares of treasury stock as restricted stock compensation to five directors (excluding audit and supervisory committee directors, outside directors, and non-resident directors). The disposal price is JPY 12,030 per share, totaling JPY 81,382,950, calculated based on the closing price on the Tokyo Stock Exchange on April 23, 2026. Under this compensation system, the eligible directors will contribute monetary compensation claims in kind and acquire restricted stock.

Purpose and Contract Terms of the Restricted Stock Compensation Plan

This system was introduced in 2021 to sustainably enhance corporate value and align value with shareholders. Eligible directors receive monetary compensation claims within an annual limit of JPY 100 million and are allocated restricted stock. The transfer restriction period applies from the allotment date until the director's resignation, during which transfer or pledge of shares is prohibited. If a director resigns before the end of the transfer restriction period, the Company has the right to acquire the shares without remuneration. Shares are managed in a dedicated account at a designated financial instruments dealer.
