Announcement Regarding the Conclusion of a Merger Agreement and Partial Amendment of Articles of Incorporation for Asset Management Companies Mori Building Investment Management Co., Ltd. and Mori Building Real Estate Investment Advisory Co., Ltd.

Overview of the Merger

Mori Hills REIT, Inc.'s asset management companies, Mori Building Investment Management Co., Ltd. (MIM) and Mori Building Real Estate Investment Advisory Co., Ltd. (MIA), will undertake an absorption-type merger with MIM as the surviving company and MIA as the absorbed company, effective June 30, 2026. Both companies are wholly owned subsidiaries of Mori Building Co., Ltd., and the merger aims to consolidate human resources and expertise to enhance operational productivity and stabilize the management foundation. The merger agreement was concluded on April 22, 2026, and the shareholders' meeting is scheduled for May 14, 2026.

Post-Merger Structure and Outlook

Post-merger, the surviving company MIM will establish a REIT Asset Management Division and an Advisory Division, assigning separate investment decision officers to prevent conflicts of interest. There will be no changes to asset management consignment agreements, investment policies, or contracts with sponsors, and the listing of Mori Hills REIT, Inc. will continue. Additionally, partial amendments to the articles of incorporation include the addition of investment advisory and agency business as well as Type II Financial Instruments Business, and the transition to electronic public notices.
