Overview of Director Personnel Changes

At the Board of Directors meeting held on April 16, 2026, Moriya Transport Machinery Co., Ltd. decided on the personnel appointments for directors. President and Representative Director Sadao Moriya, Senior Managing Director Jun Kito, Directors Hiroyuki Funahashi, Tomokazu Sakurai, Hiroshi Tsuchiya, Takahiro Tsuchiya, Takumi Yabe, and Kiyoshi Kojima (Outside Director) are slated for reappointment. New director Kenichi Hirose (General Manager of Service Sales Department) is scheduled to be appointed. Additionally, Hideo Sakano will be newly appointed as a director who is an audit and supervisory committee member. These appointments will be resolved at the 79th Annual General Meeting of Shareholders scheduled for late June 2026, followed by the formal designation of roles at the subsequent Board of Directors meeting.

Future Structure and Shareholders Meeting Schedule

After the 79th Annual General Meeting of Shareholders, the executive structure is expected to consist of 10 directors (excluding audit and supervisory committee members) and 4 directors who are audit and supervisory committee members. Toyoaki Kuragaki is planned as the alternate audit and supervisory committee member. These personnel changes aim to strengthen the organization by introducing some new appointees while basically continuing the current governance structure. The shareholders meeting is scheduled for late June 2026, offering investors insight into the stability of future management.
