Purpose and Overview of Subscription Warrants for New Shares

SBI Insurance Group Inc. has resolved to issue 6,000 paid stock options (the 1st series of stock acquisition rights in 2026) to directors and 6,400 tax-qualified stock options (the 2nd series of stock acquisition rights in 2026) to employees aimed at improving business performance and corporate value. These stock acquisition rights correspond to approximately 5% of the total outstanding shares and have specific exercise conditions and exercise periods set. In particular, the paid stock options for directors can only be exercised upon achieving the performance target of cumulative net income attributable to owners of parent of 10.5 billion yen or more over three fiscal periods.

Impact on Shareholders and Other Conditions

The issuance of subscription warrants is intended to contribute to enhancing corporate value, and the dilution impact on shares is considered reasonable. The exercise price is based on the closing price on the business day prior to the resolution of issuance and will be properly adjusted in cases of stock splits or corporate reorganizations. Transfer restrictions and exercise conditions are clearly stipulated, and the exercise period is from July 2, 2029 to December 30, 2031. No stock acquisition right securities will be issued. The allocation date is March 24, 2026, and the application period is from March 2 to March 17.
