Setting the Record Date for the Extraordinary General Meeting of Shareholders

As part of preparations to convene this extraordinary general meeting of shareholders, the record date for exercising shareholder rights has been set as Friday, October 16, 2026. The date of public notice is Thursday, October 1, 2026, and the method of notice is electronic notification. Resolutions will be made by the Board of Directors, and the schedule for holding the extraordinary meeting and details of the matters to be submitted for resolution will be announced as soon as they are decided.

MBO-Related Matters and Future Procedures

If the tender offer by bidder BCPE Neon Cayman, L.P. does not succeed and it cannot acquire all shares and stock acquisition rights, a series of procedures aimed at taking the company private will be implemented. If the tender offer succeeds and the bidder's voting rights exceed 90%, the bidder is expected to become a special controlling shareholder and request the sale of all shares and stock acquisition rights. If voting rights are below 90%, measures including a share consolidation and amendment to the Articles of Incorporation will be considered.
