Based on the provisions of Article 165, Paragraph 3 of the Companies Act, Toho Gas Co., Ltd. acquired 495,400 shares of treasury stock through market purchases on the Tokyo Stock Exchange during the period from December 1 to December 31, 2025. The total acquisition price amounted to 2,342,839,200 yen. Furthermore, pursuant to the resolution announced on September 30, 2025, the maximum number of shares that can be acquired is 5,000,000 shares, with an upper limit on the acquisition price of 15 billion yen, and the acquisition period is from October 1, 2025 to March 31, 2026.

Cumulative Acquisition Status and Impact on Shareholders

Based on the aforementioned resolution, as of December 31, 2025, a total of 1,684,200 shares of treasury stock have been acquired, with a total acquisition price of 7,755,624,276 yen. The number of shares acquired corresponds to approximately 5.3% of the total outstanding shares (excluding treasury stock) and is intended as part of capital policy to enhance capital efficiency as a shareholder return measure.
