Overview of Headquarters Relocation

FP Partner Co., Ltd. plans to relocate its headquarters from Bunkyo-ku, Tokyo to its own building at 1-1-8 Asakusabashi, Taito-ku, Tokyo on March 16, 2026. The purpose of this relocation is to secure long-term operational stability, reduce rental costs to optimize management resources, and flexibly respond to business expansion and diversification. The relocation costs are incorporated in the full-year earnings forecast for the fiscal year ending November 2026 and have already been disclosed in the financial summary for the fiscal year ending November 2025.

Partial Amendments to the Articles of Incorporation

In conjunction with the headquarters relocation, Article 3 (Location of the Head Office) of the Articles of Incorporation will be amended to change the registered office location from Bunkyo-ku to Taito-ku, Tokyo. This amendment will be submitted for approval at the Annual General Meeting of Shareholders scheduled for February 27, 2026. The amendment will take effect on March 16, 2026, after which the supplementary provisions will be deleted. The scheduled date of the shareholders meeting and the effective date of the amendments are clearly stated, ensuring highly transparent information disclosure to investors.
