Overview of Capital Policy

Sony Group Corporation conducted the acquisition of treasury stock based on the resolution of the Board of Directors on November 11, 2025, in accordance with Article 459, Paragraph 1 of the Companies Act and Article 34 of the Articles of Incorporation. From December 1 to December 31, 2025, the company acquired 4,741,700 shares of common stock, with a total acquisition price of 19,591,246,660 yen. The method of acquisition was market purchase through a discretionary trading agreement on the Tokyo Stock Exchange. The Board of Directors resolved to set the maximum number of shares to be acquired at 35 million shares and the total acquisition price at up to 100 billion yen, with an acquisition period defined from November 12, 2025, to May 14, 2026.

Impact on Shareholders and Cumulative Acquisition Status

As of December 31, 2025, the cumulative number of shares acquired reached 7,128,800 shares, and the cumulative acquisition price amounted to 30,343,819,436 yen. The number of shares acquired remains within the upper limit of 0.59% of the total issued shares (excluding treasury stock), considered part of a capital policy aimed at enhancing shareholder value. The acquisitions have been conducted through market purchases, and continuous acquisitions within the scope of the Board of Directors’ resolution are planned going forward.
