Overview of Changes in Representative Directors and Officers

Nitto Kogyo Corporation plans to decide on changes in representative directors and directors at the 78th Annual General Meeting of Shareholders scheduled for late June 2026 and the Board of Directors meeting following the shareholders meeting. Mr. Akitaka Teshima, Executive Managing Director, will assume the role of Representative Director, President and COO, while the current Representative Director, President and COO, Mr. Toru Kurono, is scheduled to become an advisor. Furthermore, as part of director changes, Mr. Kenichi Suzuki (President of Sun Telephone Co., Ltd.) and Mr. Yoshitaka Sato (Executive Officer and General Manager of Production Headquarters) are expected to be appointed as new director candidates, with Mr. Toru Kurono and Mr. Koichi Takenaka scheduled to retire.

Background of Changes and Future Structure

This personnel change aims to strengthen the management foundation, expand business, and enhance corporate value under a new management system. Since joining in 1988, Mr. Teshima has served in a variety of key positions including General Manager of the Human Resources Department, General Manager of the Accounting Department, and General Manager of the Corporate Management Headquarters. He also concurrently oversees the DX Integration Department and the Sustainability Promotion Office. Under the new structure, Mr. Teshima will play a central role in management as Chief Operating Officer, working alongside Executive Managing Director Koichiro Sato and others to drive management.
