Notice Regarding the Status of Treasury Stock Acquisition (Acquisition of Treasury Stock Based on Provision of Article 165, Paragraph 2 of the Companies Act)

Overview of Treasury Stock Acquisition

Seven & i Holdings Co., Ltd. conducted a treasury stock acquisition in accordance with the provisions of Article 165, Paragraph 3 of the Companies Act and pursuant to Article 156 of the same Act. From August 1, 2025 to August 31, 2025, based on contracts, 26,499,100 common shares were acquired with a total acquisition price of 53,399,278,350 yen. The acquisition method was market purchases under a discretionary trading agreement on the Tokyo Stock Exchange.

Shareholder Return Policy and Future Acquisition Plan

Based on the resolution of the Board of Directors on April 9, 2025, the acquisition limit is set at 400,000,000 common shares, with a maximum acquisition price of 600,000,000,000 yen. The acquisition period is from April 10, 2025 to February 28, 2026. As of August 31, 2025, the cumulative number of shares acquired reached 132,880,100 shares and the cumulative acquisition price reached 283,303,030,550 yen. This demonstrates the continued execution of treasury stock acquisition as part of efforts to improve capital efficiency and return value to shareholders.
