Notice Regarding the Status of Treasury Stock Acquisition (Acquisition of Treasury Stock Based on Article 165, Paragraph 2 of the Companies Act)

Overview of Treasury Stock Acquisition

Shobond Holdings Co., Ltd. has been conducting treasury stock acquisitions pursuant to the resolution of the Board of Directors held on August 12, 2025, in accordance with Article 165, Paragraph 3 of the Companies Act. Regarding the acquisition status for December 2025, 199,700 shares of our common stock were acquired with a total acquisition price of JPY 1,018,801,300. Cumulatively, as of December 31, 2025, 296,300 shares have been acquired with a total acquisition price amounting to JPY 1,499,799,000. The acquisition method was market purchase on the Tokyo Stock Exchange, with the acquisition period from December 1 to December 31, 2025.

Change in Acquisition Limit Due to Stock Split and Future Outlook

On January 1, 2026, a stock split was implemented, changing the upper limit of treasury stock shares available for acquisition from 1,100,000 shares to 4,400,000 shares. The upper limit on acquisition price remains JPY 5 billion. The acquisition period is scheduled from August 13, 2025, to June 30, 2026, and continuous acquisition of treasury stock through market purchases is expected going forward. This measure is anticipated to improve capital efficiency and enhance shareholder returns.
