Overview of Director Changes

At the board meeting held on April 24, 2026, Nihon Kohden Corporation resolved the planned changes to its directors to be implemented at the 75th Annual General Meeting of Shareholders scheduled for June 25, 2026. The new director candidates are Mr. Takahito Mimura, former Chairman and CEO of Terumo Corporation (Outside Director), and Mr. Fumio Izumida, currently Senior Executive Officer in charge of internal audit (Director (Audit and Supervisory Committee Member)). Mr. Mimura meets the independence requirements of the Tokyo Stock Exchange and will be registered as an independent director. On the other hand, Mr. Shigeru Kawatsuhara (Outside Director) and Mr. Shigeru Hirata (Director (Audit and Supervisory Committee Member)) are scheduled to resign.

New Management Structure Diagram and Director Composition

As of June 25, 2026, Mr. Hirokazu Ogino will assume the position of President and Representative Director, and multiple outside directors including Mr. Takahito Mimura are scheduled to take office as directors (excluding Audit and Supervisory Committee members). Several directors including Mr. Fumio Izumida will serve as Audit and Supervisory Committee members. The management execution officers are also detailed, indicating each officer’s position and area of responsibility. This aims to strengthen governance and improve management transparency.
