Suruga Bank Ltd. resolved at its Board of Directors meeting on April 24, 2026, to establish a share buyback program pursuant to Article 459, Paragraph 1, Item 1 of the Companies Act. The purpose of the acquisition is to improve capital efficiency and enhance shareholder returns, aiming to achieve consolidated ROE targets of 11.0% or higher and an effective equity ratio of around 10% as outlined in the medium-term management plan. The acquisition target is the Company’s common shares, with an upper limit of 5,000,000 shares (accounting for 2.92% of the total issued shares), a maximum acquisition price of 12 billion yen, and an acquisition period from May 15, 2026, through December 31, 2026.

As of March 31, 2026, the total number of issued shares was 197,139,248, and treasury stock holdings amounted to 25,893,470 shares. Treasury stock counts do not include shares held by the Executive Compensation BIP Trust and the Stock Grant ESOP Trust.
