Ferrotec Holdings Corporation resolved at the Board of Directors meeting that, as of May 14, 2026, it will dispose of 5,169 shares of treasury stock as Restricted Stock Units (RSU). The disposal price is 6,930 yen per share, totaling 35,821,170 yen, allocated to six employees of an overseas subsidiary. This disposal is based on a post-grant stock compensation plan introduced in January 2023, whereby RSUs confirmed due to meeting continuous service and other conditions by the recipients are delivered as shares.

Details of the Plan and Impact on Shareholders

This plan is an incentive scheme targeting employees of the Company and its subsidiaries, providing shares upon the condition of continued service for a certain period. The shares disposed in this instance have no transfer restrictions, and the payment price is based on the market closing price on the business day prior to the Board resolution. Since the total disposal amount is less than 100 million yen, no submission documents are required under the Financial Instruments and Exchange Act. This aims to enhance employee motivation and appropriately reflect corporate value.
