Share Buyback and Cancellation for Improving Capital Efficiency and Enhancing Shareholder Returns

TKC Corporation resolved to carry out a share buyback and cancellation aimed at improving capital efficiency and enhancing shareholder returns. The buyback targets our common shares, up to 400,000 shares, with a total acquisition price of 1,512,000,000 yen. The method of acquisition is through an Off-Auction Own Share Repurchase Transaction (ToSTNeT-3). The resolution was passed at the Board of Directors meeting held on March 11, 2026, and the purchase transaction will take place on the following day, March 12, 2026.

Cancellation Overview and Future Plans

All acquired treasury shares are scheduled to be cancelled on March 31, 2026. The exact number of shares to be cancelled will be announced after completion of the acquisition. This is expected to reduce the total number of issued shares, thereby improving capital efficiency and increasing shareholder value. Depending on market conditions, part or all of the acquisition may not be conducted.
