(Amendment) Notice of Partial Amendment to “Announcement of Expression of Opinion in Support and Recommendation to Tender in Relation to the Tender Offer for Our Shares by ITG-G Holdings Co., Ltd.”

Background of consideration and current status of this tender offer

The Company maintains its policy of expressing support and recommending acceptance of the tender offer by ITG-G Holdings, while re-evaluating the comparative review of Company C's proposal and the status of other evaluated candidates following amendment and correction notices since September. The Company has received a response that Company A does not intend to submit a legally binding proposal, and the evaluation is ongoing. Although a reproposal from Company B was received, the Company's Special Committee has determined that the B Company reproposal does not constitute grounds to withdraw or change the expression of support.

Future response and impact on shareholders

The Special Committee has indicated that it will continue discussions with the offeror and Company C and will carefully evaluate and consider each proposal. It has concluded that Company A will not submit a legally binding proposal, and continues to assess the situation including the impact of Company B's reproposal. The Company will promptly notify shareholders of any additional disclosure items as they arise.
