Capital Policy and Expansion of Share Buybacks

At the Board of Directors meeting on November 5, 2026, the Company resolved to expand the treasury stock acquisition framework to 610 million shares and the total acquisition amount to 1.3 trillion yen, and decided to employ both market purchases and tender offers as acquisition methods. The acquisition period is from August 5, 2026 to August 4, 2027. This aims to improve capital efficiency and enhance EPS/ROE. The Company has also begun considering including some shares held by policy shareholders as targets for treasury stock acquisition.

Details of the Purchase, Funding and Impact

The tender offer price is set at 2,725 yen, with the planned number of shares to be purchased up to 108,750,741 shares (cap), and unit adjustments will be made in response to shareholder participation. Purchase funds will be covered entirely by the Company's own funds, and liquidity on hand is expected to be maintained at current levels. The tender offer period is 21 business days from November 6, 2026 to December 7, 2026. After the purchase, the acquired shares will be cancelled, and the number of cancelled shares has been changed to a maximum of 1,200 million shares.
