Overview of the Company Split

Takashimaya Company, Limited will carry out a sole simplified incorporation-type split with the company as the splitting company in order to establish an intermediate holding company that will oversee its financial businesses. The newly established company will be a 100% subsidiary of Takashimaya and will succeed the shares of Takashimaya Financial Partners Co., Ltd., Vast Culture Co., Ltd., Takashimaya Clay Capital, and HOGARAKA Trust Co., Ltd. The scheduled date for the incorporation-type split is March 1, 2027.

This reorganization will strengthen the oversight function of financial businesses centered on the intermediate holding company, enhancing governance and risk management and accelerating decision-making. The basic information of the Takashimaya Group, such as the group name, location, and fiscal year-end, will remain unchanged after the split.
