Overview of the Board Effectiveness Evaluation

This evaluation was conducted using a 15-item questionnaire from the perspectives of strategic discussion and capital efficiency, materialization of supervisory functions and acceleration of decision-making, and the board's composition expertise, diversity, and quality of deliberation. A free, open, and constructive atmosphere was maintained, and the quality of deliberation and environment for expressing diverse opinions were highly evaluated. A certain level of effectiveness was also recognized for oversight of medium- to long-term growth strategy and succession planning. On the other hand, challenges were identified, including strengthening oversight of growth investments that takes capital costs into account, improving the effectiveness of group-wide internal control and risk management, and strengthening proactive operation of the board secretariat.

Future Actions and Impact for Investors

Based on the evaluation results, the Company will undertake continuous efforts to resolve the identified issues and improve the effectiveness of the board. For investors, attention should be paid to the continued initiatives that contribute to long-term corporate value enhancement through strengthened corporate governance.
